Terms of Sale
Purpose
These Terms and Conditions (hereinafter the "Terms") define the terms of sale and rules of use of the Sqant platform, published and operated by NAYAVADA (hereinafter "NAYAVADA"). The AI-powered conversation service (hereinafter the "Service") is accessible at https://sqant.ai.
The Service allows users to converse with an artificial intelligence, upload files for processing, and perform assisted web searches. NAYAVADA reserves the right to add, modify, or remove functionalities at any time.
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
Pricing and Credits
The Service operates on a prepaid model. Access to the Service's functionalities requires the purchase of credits. Prices are displayed exclusive of tax; applicable taxes are added at checkout in accordance with the laws of your country of residence.
Prepaid Credits
You may purchase credits through a one-time payment in the currency offered by the payment system based on your location. All Service functionalities are accessible upon your first credit purchase. Purchased credits do not expire.
Available top-up tiers and accepted currencies are presented in the purchase interface. NAYAVADA reserves the right to modify the tiers and currencies offered.
A welcome offer may be applied to your first credit purchase. The terms of this offer are indicated during the purchase process.
Consumption
Each use of the Service consumes a variable number of credits depending on the AI model used, the length of the conversation, and the features invoked (notably web search). The interface displays the percentage of your balance consumed.
NAYAVADA reserves the right to modify consumption conditions. In the event of a modification, you will be notified at least thirty (30) days before the new conditions take effect.
Top-ups
You may top up your credit balance at any time by selecting from the tiers available in the purchase interface. An invoice is issued by the payment processor for each purchase.
Payment
Payment is processed by credit card through the Stripe payment platform. NAYAVADA does not store any credit card data.
Payment is processed in the currency offered by the payment system based on your location.
Credits are available immediately upon payment confirmation by the payment processor.
Except where you exercise your right of cancellation under Section 9, payments are non-refundable.
NAYAVADA is not responsible for errors, delays, or payment failures attributable to the payment processor or your financial institution.
Termination and Account Closure
You may close your account at any time from your account settings or by contacting us directly.
If you close your account, any remaining credits are forfeited and are not refundable.
NAYAVADA may suspend or terminate your access to the Service for violation of these Terms, with immediate effect and without prior notice in the case of a serious violation. Serious violations are defined in Section 16 (Moderation and Enforcement).
If NAYAVADA terminates your access without fault on your part, any remaining credits will be refunded within thirty (30) days.
NAYAVADA may also close an account that has been inactive for more than twelve (12) months. You will be notified at least thirty (30) days before closure.
AI-Generated Content
The Service uses large language models (LLMs), a technology that is continually evolving. Content generated by the Service (hereinafter "Outputs") may contain inaccuracies, including when Outputs appear detailed or specific.
Outputs do not constitute professional, legal, financial, medical, or any other form of advice. You are solely responsible for verifying the accuracy and suitability of Outputs before any use.
You must not represent Outputs as having been produced by a human when they were generated by the Service.
Outputs may be similar or identical to responses generated for other users. NAYAVADA does not guarantee the uniqueness of Outputs.
The Service and its Outputs do not necessarily reflect the views of NAYAVADA.
Service Architecture and Service Level
NAYAVADA acts as a technical orchestration intermediary. The Service combines proprietary algorithms developed by NAYAVADA (conversational processing, memory, search) and language models provided by third-party providers (hereinafter "LLM Providers").
The Service relies on a multi-provider architecture with automatic failover: if an LLM Provider becomes unavailable, the Service switches to another available provider. This architecture is designed to maximise Service continuity without constituting a guarantee of absolute availability.
NAYAVADA provides the Service with reasonable care and skill, on a best-effort basis. No specific uptime or availability commitment is guaranteed.
Output quality may vary depending on the LLM Provider used. NAYAVADA shall not be liable for variations in quality, latency, or availability attributable to LLM Providers.
Interruptions related to maintenance, updates, or force majeure events do not give rise to any compensation.
NAYAVADA does not qualify as a publisher of content generated by the Service within the meaning of French Law No. 2004-575 of 21 June 2004 on Confidence in the Digital Economy (LCEN) and Regulation (EU) 2022/2065 on Digital Services (DSA). The Service generates responses algorithmically without human intervention in the production process.
Intellectual Property
Ownership of Content
You retain all ownership rights in the content you submit to the Service (Inputs). To the extent permitted by applicable law, NAYAVADA assigns to you all of its right, title, and interest, if any, in Outputs.
You acknowledge that, due to the nature of large language models, Outputs are not necessarily unique: the Service may generate identical or similar responses for different users submitting similar inputs.
The legal status of AI-generated content is uncertain under current law. NAYAVADA does not guarantee that Outputs are protectable under copyright or any other intellectual property right.
Limited Licence
You grant NAYAVADA a non-exclusive, worldwide, royalty-free licence, limited to the provision of the Service, solely for the following purposes: processing interactions for conversational continuity improvement and providing Service functionalities.
This licence does not permit NAYAVADA to: (a) use your content to train or improve any artificial intelligence model, (b) share your content with any third party other than subprocessors necessary for Service operation, or (c) use your content for its own commercial purposes.
Ownership of the Service
The Service, its algorithms, architecture, and documentation are the exclusive property of NAYAVADA and are protected by intellectual property law.
No Model Training
No user data is used to train any artificial intelligence model. Neither NAYAVADA nor its LLM Providers retrain their models on user data.
Feedback
You grant NAYAVADA the right to use any feedback, suggestions, and ideas for improvement voluntarily communicated to improve the Service, without any obligation or compensation.
Limitation of Liability
The Service is provided on an "as is" and "as available" basis. NAYAVADA does not guarantee that Outputs are accurate, complete, current, or fit for any particular purpose.
You are solely responsible for verifying and using Outputs before any decision or action based on them. Outputs do not constitute professional advice and should not be relied upon without independent verification.
Nothing in these Terms excludes or limits NAYAVADA's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
Subject to the foregoing, NAYAVADA shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of revenue, data, business opportunity, or reputation, arising out of or related to the Service or these Terms.
NAYAVADA shall not be liable for any damage resulting from the unavailability, failure, or unilateral modification of services provided by LLM Providers.
Nothing in these Terms affects your statutory rights as a consumer under the mandatory consumer protection laws applicable in your country of residence.
Right of Cancellation
In accordance with Directive 2011/83/EU on consumer rights, consumers residing in the European Union have the right to cancel their credit purchase within fourteen (14) days of the date of purchase, without giving any reason.
If you have used a portion of the credits purchased before the expiration of the cancellation period, the refund will cover the unused portion.
To exercise this right, you must inform NAYAVADA of your decision to cancel by making a clear statement by contacting us directly.
Upon exercise of the right of cancellation, NAYAVADA will process the refund within fourteen (14) days of receiving the request, using the same payment method as the original transaction, unless you expressly agree to an alternative method.
Personal Data
The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.
No user data is used to train any artificial intelligence model. Details regarding data collection, purposes, subprocessors, and user rights are set forth in the Privacy Policy.
Terms of Use
User Account and Access
Access to the Service requires account creation. Access to paid functionalities additionally requires credit purchase.
You must be at least eighteen (18) years old or have reached the age of legal majority in your jurisdiction, whichever is higher, to create an account or use the Service.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Only one account per individual is permitted.
You agree to provide accurate and current information when creating your account and to keep it updated. You are responsible for maintaining a valid email address associated with your account, used by NAYAVADA for Service-related communications.
If you suspect unauthorised use of your account, you must notify NAYAVADA immediately by contacting us directly.
Acceptable Use and Prohibited Activities
You agree to use the Service in compliance with all applicable laws and these Terms. The following categories of use are strictly prohibited.
Illegal Activities
Using the Service to conduct, encourage, promote, or facilitate any illegal activity is prohibited. This includes the production or distribution of content in violation of applicable laws, trafficking in illicit substances, and any infringement of third-party intellectual property rights.
Child Sexual Abuse Material
NAYAVADA enforces a zero-tolerance policy regarding child sexual abuse material (CSAM). Any attempt to generate such content results in immediate account termination and reporting to the appropriate authorities.
Violence and Threats
Using the Service to produce content inciting violence, terrorism, or glorifying violent acts is prohibited. This includes threats against individuals, groups, or property.
Hate Speech and Discrimination
Using the Service to promote hatred, discrimination, or harassment based on race, gender, ethnicity, religion, nationality, sexual orientation, disability, or any other protected characteristic is prohibited.
Self-Harm and Suicide
Using the Service to produce content encouraging, promoting, or providing instructions related to self-harm or suicide is prohibited.
Fraud and Scams
Using the Service for fraudulent purposes is prohibited. This includes phishing, financial scams, identity theft, creation of forged documents, and production of deceptive content (fake reviews, fake testimonials, fake media).
Disinformation
Using the Service to deliberately produce or disseminate false or misleading information is prohibited. This includes disinformation targeting individuals, groups, or institutions, as well as false medical, scientific, or election-related information.
Privacy Violations
Using the Service to violate the privacy of others is prohibited. This includes the unauthorised collection, disclosure, or use of third-party personal data.
Platform Abuse
The following activities are prohibited: any attempt at prompt injection to bypass system instructions, reverse engineering of the Service's algorithms or architecture, intentional server overloading, automated scraping of content, use of multiple accounts to circumvent limitations or sanctions, and use of Service Outputs to train an artificial intelligence model without prior authorisation from NAYAVADA.
High-Risk Use Cases
Certain uses of the Service present elevated risk due to their potential impact on domains essential to individual well-being and social equity. These uses are subject to specific requirements.
Required Human Oversight
When the Service is used to produce advice, recommendations, or analysis in the domains listed below and such results are intended for decisions directly affecting individuals, a qualified professional in the relevant domain must verify the content or decision before implementation. You or your organisation are responsible for the accuracy and relevance of the information used.
Disclosure Requirement
If Service Outputs are presented directly to third parties, you must inform those third parties that the content was produced with the assistance of artificial intelligence.
Covered Domains
High-risk domains include: legal (interpretation, advice, drafting with legal implications), medical and health (diagnosis, treatment, mental health), financial (investment advice, creditworthiness assessment), insurance (underwriting, claims processing), employment and housing (hiring decisions, housing eligibility), and professional media (automated content generation for publication).
File Uploads and Document Submission
The Service allows account holders to upload files for processing by artificial intelligence.
Uploaded files are processed within the current session. They are not retained beyond the time necessary for processing, except as part of conversation retention described in the Privacy Policy.
You agree to anonymise any documents you submit to the Service, regardless of the mode used (including direct input in the chat). Before submitting a document containing third-party personal data (names, company names, case numbers, addresses), you must replace them with pseudonyms (for example: Party A, Party B, Company X, Case No. XXX).
Content submitted to the Service is transmitted to language models in isolation: it is neither stored nor reused by model providers beyond the immediate processing of the request. NAYAVADA is the data controller within the meaning of Regulation (EU) 2016/679 (GDPR) for data transmitted through the Service. You bear sole responsibility if you submit third-party personal data without anonymisation, in accordance with your own obligations under the GDPR.
You agree not to upload files whose content is unlawful or infringes third-party rights.
Web Search
The Service includes a web search functionality to verify and enrich responses from third-party sources.
Web search results are provided for informational purposes only. NAYAVADA does not guarantee the accuracy, completeness, or timeliness of content from third-party sources.
Sources consulted are evaluated and scored using a proprietary trust system. You remain responsible for verifying any information obtained through web search before use.
Moderation and Enforcement
NAYAVADA reserves the right to monitor use of the Service through automated means to ensure compliance with these Terms and to maintain the security and integrity of the Service.
In the event of a violation of these Terms, NAYAVADA applies a progressive enforcement mechanism: warning, temporary account suspension, then permanent termination. You will be informed of the nature of the violation.
The following violations are considered serious and result in immediate termination of access to the Service, without prior notice: (a) production or attempted production of child sexual abuse material (CSAM), (b) use of the Service for illegal activities as defined in Section 12, (c) fraud, identity theft, or creation of forged documents, (d) prompt injection that resulted in the production of prohibited content, (e) reverse engineering of the Service's algorithms or architecture. NAYAVADA reserves the right to report such conduct to the appropriate authorities.
If you believe your account was suspended or terminated in error, you may submit a review request by contacting us directly.
General Provisions
Changes to These Terms
NAYAVADA reserves the right to modify these Terms. In the event of a material change, you will be notified at least thirty (30) days before the new Terms take effect, through an in-app notification and, for account holders, by email to the address associated with your account.
Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and close your account before the effective date.
Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of France.
In the event of a dispute, the parties agree to seek an amicable resolution within thirty (30) days. If no resolution is reached, the competent courts shall have exclusive jurisdiction.
Nothing in these Terms limits your rights under mandatory consumer protection laws that may apply in your country of residence. The consumer may also contact the competent consumer mediation body in their country.
European consumers are informed that they may use the European online dispute resolution platform.
Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
NAYAVADA's failure to exercise any right or enforce any obligation under these Terms does not constitute a waiver of that right or obligation.
These Terms constitute the entire agreement between you and NAYAVADA regarding your access to and use of the Service, and supersede any prior agreements relating to the same subject matter.
The Service is subject to Regulation (EU) 2024/1689 on Artificial Intelligence (AI Act) as a deployer of a general-purpose AI system. NAYAVADA complies with the transparency obligations set forth in Articles 50 et seq. of said regulation, and commits to implementing additional obligations as they come into effect.
